Examination of the merger of the Chemnitz Technology Centre and TechnoPark Chemnitz commissioned
At its meeting today, the City Council instructed the administration to examine the merger of the two companies Technologie Centrum Chemnitz GmbH (TCC) and TechnoPark Chemnitz (TPC) and other forms of amalgamation. This also includes the possible acquisition of further shares in TCC by the City of Chemnitz.
The City of Chemnitz holds shares in both companies. Both aim to promote technology-oriented start-ups by operating a corresponding technology and start-up centre. It is therefore now to be examined to what extent a merger of the TCC and TPC makes sense in order to optimise the performance of the task and increase its efficiency. The City of Chemnitz is the majority shareholder in the TCC with 54 per cent of the shares, while it is the sole owner of the TPC.
The two companies are already working together, for example on content-related co-operation, but also in personnel matters. Nevertheless, both companies still keep their own accounts and prepare their own annual financial statements. The companies each have their own committees. The extent to which the merger will increase efficiency must now be examined. A prerequisite for this would also be the willingness of the other shareholders of the TCC, Sparkasse, IHK and the district of Chemnitzer Land, to sell their shares. The Lord Mayor is already holding exploratory talks on this and is in discussions about a future binding cooperation. In addition, the State Directorate of Saxony must be involved to ensure that the transaction can be authorised.
Following agreement with the shareholders of the TCC, the purchase of the shares of the other shareholders could take place in the second half of the year with a city council resolution, and the merger is then expected to take place in the first half of 2015 on the basis of the annual financial statements of the two companies.
