City Council decides to merge Technologie Centrum Chemnitz and Technopark Chemnitz

Yesterday, the City Council approved the merger of Technologie Centrum Chemnitz GmbH (TCC) and TechnoPark Chemnitz GmbH (TPC) to form Technologie Centrum Chemnitz GmbH (TCC). The representatives of the city were authorised to pass the necessary resolutions on the merger in the shareholder bodies and to amend the shareholder agreement accordingly. The merger of the two companies is to take place with retroactive effect from 1 January 2015.

The aim is to merge the two companies as they have very similar corporate purposes. The management process of TCC/TPC has already been optimised in the past through cooperation in terms of both content and personnel. Nevertheless, further optimisation potential is seen through the merger, which should be exploited in the interests of better and more efficient task fulfilment.

The merged company will continue to fulfil all of the tasks previously performed by the two companies TCC and TPC.

While the TPC has operated under the name TechnoPark Chemnitz GmbH to date, it is proposed that the new merged company adopt the name Technologie Centrum Chemnitz GmbH in future. This proposal, which has also been discussed several times in the supervisory boards of the companies, is the result of the regional and in some cases supra-regional recognition of the name "TCC".

The City of Chemnitz will hold a 98% stake in the merged company and Chemnitz University of Technology a 2% stake. In future, the company's Supervisory Board will consist of six members from the City of Chemnitz and one member from Chemnitz University of Technology. The election of the new Supervisory Board is planned for autumn 2015. It will be proposed to the City Council that, in addition to the representatives to be nominated by the parliamentary groups and the Lord Mayor as administrative representative, the City of Chemnitz will also delegate a representative of the Chemnitz Chamber of Industry and Commerce as an external expert to the Supervisory Board.
